• Corporate Finance Specialists

At EQ Corporate Finance, our services are specifically designed to suit our clients. That means we don’t just support corporate businesses, and our advice extends beyond simply finance.

Wherever you plan to take your business, and whatever your ambition, our Corporate Finance specialists can help you every step of the way. Our team works with business stakeholders to provide transaction, financing and restructuring support. Our experience, resourcefulness, broad commercial knowledge and an understanding of diverse stakeholder priorities allow us to add value at each stage of the transaction.

We seek to gain a detailed understanding of the business and recognise exactly what the objectives are. Whether it be acquiring, raising capital, restructuring or selling, we apply original thinking, proactive engagement and innovative solutions to meet all the challenges a transaction may impose.

Our Corporate Finance specialists are all experienced in transaction support services and understand the personal and emotional aspects of every corporate transaction. In addition, the team benefits from the knowledge and experience of our EQ Taxperts, which is often fundamental to a transaction. This enables us to give the best advice, tailored to your circumstances.

EQ complete around 50 deals a year for UK based and International clients, most of them between £1 million and £25 million, but we comfortably handle transactions outside this range. We have access to international support through our membership of Kreston Global, which gives our clients vital local information when they are looking to expand internationally.

The main areas where our team of corporate finance specialists add value is:

  • Disposals and exit planning
  • Acquisitions
  • Raising finance

However, we also provide support in the following areas:

  • Due diligence
  • Financial modelling
  • Corporate restructuring
  • Valuations
  • Operational turnaround
  • Corporate simplification
  • Preparing for sale

Disposals and Exit Planning

We have a proven track record in helping business owners dispose of their business interests. The planning for a sale usually starts several years before any exit, but time spent planning the exit in advance will usually enable the maximum return to shareholders on exit, both from a gross and net (after tax) perspective.

The planning and ultimate sale of a business can be a lengthy process and demanding on management time. We will work with you and your management team to prepare the business for sale and identify its key performing assets, intellectual property and brand strength.

In most corporate finance transactions, tax planning is fundamental to a successful outcome. A poorly structured business or badly planned transaction can lead to unnecessary tax liabilities and valuable reliefs being unavailable. Therefore, careful planning of a sale early on can usually identify areas of weakness and where tax loss may arise. We are able to advise and implement changes which secure valuable tax reliefs and minimise any tax payable.

How can we help you?

  • Prepare the company for sale to achieve the maximum return
  • Identify potential purchasers
  • Advise on the valuation of the business
  • Prepare and manage the distribution of an information memorandum
  • Advise on how best to structure a transaction to meet your requirements
  • Project manage the transaction throughout the entire transaction, liaising with lawyers and other parties involved in the transaction
  • Use tax structuring to reduce tax cost on exit

Acquisitions

EQ provide a comprehensive transaction management and advisory service to help clients looking to grow their business by acquisition. An acquisition provides a way of accessing new markets or obtaining new contracts, contact lists, key personnel, or a combination of them all.

Acquisitions are usually complex and time consuming and can be one of the riskiest transactions a company can undertake. Failures will occur, but they are usually due to a lack of planning at the start which results in the acquirer not achieving what they had hoped for from the transaction. Due to the risks associated with an acquisition, a team of experienced advisors is critical. Our Corporate Finance team have a wealth of experience in the planning, negotiation and completion of acquisition transactions.

How can we help you?

  • Develop an acquisition strategy
  • Identify suitable targets
  • Negotiate with vendors
  • Advise on the acquisition process – whether buying the company outright, buying part of a company, initiating a joint venture, acquiring shares or its trade and assets
  • Business planning and financial modelling
  • Advise regarding the valuation of the target
  • Fund raising
  • Consider tax implications, for you and the vendor
  • Managing the legal and accounting due diligence process
  • Project manage to successful completion
  • Implementation of the post-acquisition plan

We have excellent global contacts through our membership of Kreston International and regularly work with colleagues in Europe, America, Asia and Australia.

Raising Finance

Having the right level and mix of funding is critical to any business. Whether a business is starting up, expanding or changing ownership, finance is often required as plans can not be financed from cashflow alone. Through our Corporate Finance team’s detailed understanding of your business, we focus on the key growth issues, building the right deal structure and finding the appropriate financier.

The economic climate for raising capital has changed considerably. However, the right business and the right business case can still allow access to debt, equity and grant finance. With an extensive network of contacts and intermediary relationships, our Corporate Finance team is well placed to assist clients with raising finance for whatever business purpose, at whatever part of the business lifecycle.

We are also experienced in assisting clients to renew or re-arrange their banking arrangements to ensure they are getting the best value from their bank provider. In the past three years, we have re-financed in excess of £100 million in bank borrowing in order to achieve better terms for our clients.

How can we help you?

  • Preparation of a business plan and financial modelling
  • Determine the right debt and equity structure appropriate to your circumstances and needs
  • Identify and negotiate with an appropriate funder
  • Prepare and present proposals to financiers to help you obtain the most beneficial deal

We are happy to advise on any corporate finance matter. For more information, contact one of our team for a no obligation discussion on your business needs and ambitions.

  • EQ’s expertise and advice was invaluable throughout the lengthy process leading up to the sale of our business. They were always on hand to offer support and their understanding of the very specific requirements of our industry really was most impressive. We also appreciated the friendly, down to earth approach which helped ease what would usually have been an extremely stressful process. It is no exaggeration to say that we would never have got over the line without them.
